Ping AI Terms of Use

1. Acceptance of Terms

By accessing or using Ping ("Service," "App," or "Platform"), you and your organization ("Customer," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Ping AI regarding your use of the Service.

2. Service Description

Ping is a business-to-business communication and collaboration platform that enables teams to communicate through direct messages and channels, share files, integrate with third-party services (including Google Workspace, Slack, Linear, and others), and leverage AI-powered assistance for productivity and workflow automation.

3. Account Registration and Security

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to maintain and update your information as necessary.

3.2 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.4 Workspace Administration

Workspace administrators have control over workspace settings, user permissions, data access, integrations, and can invite or remove users within their organization's workspace.

4. Acceptable Use

4.1 Permitted Use

You may use the Service solely for lawful business purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe upon intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
  • Use the Service to harass, abuse, threaten, or harm others
  • Engage in any activity that disrupts, interferes with, or impairs the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Remove, obscure, or alter any proprietary notices on the Service
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service for any illegal or unauthorized purpose

5. Customer Data

5.1 Ownership

You retain all ownership rights to the data, content, messages, files, and materials you upload, create, or transmit through the Service ("Customer Data").

5.2 License to Ping

You grant Ping a worldwide, non-exclusive, royalty-free license to access, store, process, cache, and transmit Customer Data solely to:

  • Provide, maintain, and improve the Service
  • Provide AI-powered features and assistance
  • Generate analytics and insights for your workspace
  • Comply with legal obligations

5.3 Data Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of Customer Data
  • The means by which you acquired Customer Data
  • Your use of Customer Data in compliance with applicable laws
  • Obtaining necessary consents for processing personal data

5.4 Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

6. Intellectual Property

6.1 Ping Property

The Service and all related technology, software, features, functionality, trademarks, service marks, trade names, logos, and visual designs are owned by Ping and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to these Terms, Ping grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

6.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Rent, lease, loan, sell, or distribute the Service
  • Remove or modify any proprietary markings or restrictions

6.4 Feedback

If you provide suggestions, feedback, or ideas about the Service ("Feedback"), you grant Ping a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without obligation or compensation to you.

7. Third-Party Integrations

7.1 Third-Party Services

The Service integrates with third-party services including Google Workspace, Slack, Linear, Notion, and others. Your use of these integrations is subject to:

  • The third party's respective terms of service and privacy policies
  • Your authorization and permission settings
  • Availability and functionality of the third-party service

7.2 No Responsibility

Ping is not responsible for:

  • Third-party services, their content, or their availability
  • Changes or discontinuation of third-party integrations
  • Data handling practices of third-party services
  • Performance or security of third-party services

7.3 Data Sharing

When you authorize third-party integrations, data may be shared according to your permission settings. Review each third party's privacy policy before connecting.

8. AI Features

8.1 AI Assistance

Ping provides AI-powered features including message assistance, search, summarization, task automation, and other intelligent capabilities.

8.2 AI Limitations

AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. You are responsible for reviewing and verifying all AI-generated content before use.

8.3 AI Training

We may use aggregated, anonymized data to improve our AI models, but will not use your Customer Data to train models for other customers without your consent.

9. Payment Terms

9.1 Fees

You agree to pay all applicable fees for your selected subscription plan as described on our pricing page or in your order form.

9.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your designated payment method automatically for all applicable fees.

9.3 Payment Information

You must provide current, complete, and accurate payment information and update it promptly if it changes.

9.4 Non-Payment

If payment fails, we may suspend or terminate your access to the Service after providing notice.

9.5 Refunds

Fees are non-refundable except as required by law or as expressly stated in these Terms or your order form.

9.6 Fee Changes

We may change our fees upon 30 days' prior notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

9.7 Taxes

Fees do not include applicable taxes. You are responsible for all sales, use, value-added, and similar taxes.

10. Term and Termination

10.1 Term

These Terms commence when you first access the Service and continue until terminated by either party.

10.2 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting our support team
  • Sending written notice to support@get-ping.com

10.3 Termination by Ping

We may suspend or terminate your access to the Service:

  • For violation of these Terms
  • For non-payment of fees
  • For conduct that harms Ping, other users, or third parties
  • For any reason with 30 days' prior notice
  • Immediately for legal or security reasons

10.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service ceases immediately
  • You remain responsible for all fees incurred prior to termination
  • We may delete your Customer Data in accordance with our data retention policies
  • You may export your Customer Data for 30 days after termination (if not terminated for cause)

10.5 Survival

Sections related to Customer Data ownership, intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and general provisions survive termination.

11. Warranties and Disclaimers

11.1 Service Warranty

Ping warrants that the Service will perform materially in accordance with our documentation under normal use.

11.2 Disclaimer

Except as expressly provided in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Ping disclaims all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses

11.3 No Guarantee

We do not warrant that:

  • The Service will meet your specific requirements
  • All errors or defects will be corrected
  • The Service will be available at all times
  • Results obtained from the Service will be accurate or reliable

12. Limitation of Liability

12.1 Exclusion of Damages

To the maximum extent permitted by law, in no event shall Ping, its affiliates, officers, directors, employees, agents, or suppliers be liable for:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, business, data, use, or goodwill
  • Business interruption or lost opportunities
  • Cost of substitute services

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Ping has been advised of the possibility of such damages.

12.2 Liability Cap

Ping's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the amount actually paid by you to Ping in the 12 months immediately preceding the event giving rise to liability.

12.3 Exceptions

The limitations in this section do not apply to:

  • Violations of intellectual property rights
  • Your indemnification obligations
  • Matters that cannot be limited by applicable law

13. Indemnification

You agree to indemnify, defend, and hold harmless Ping, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Customer Data or content
  • Your violation of applicable laws or regulations

14. Data Protection and Compliance

14.1 Data Processing

Ping processes personal data as a data processor on your behalf in accordance with:

  • Our Privacy Policy
  • Applicable data protection laws (including GDPR, CCPA, and other regulations)
  • Our Data Processing Agreement (available upon request)

14.2 Data Security

We implement reasonable administrative, technical, and physical safeguards to protect Customer Data against unauthorized access, loss, or alteration.

14.3 Data Breach Notification

In the event of a security incident affecting your Customer Data, we will notify you in accordance with applicable law and our security incident response procedures.

14.4 Your Compliance

You are responsible for your compliance with all applicable data protection laws regarding your use of the Service and processing of personal data.

15. Modifications to Terms

15.1 Right to Modify

We may modify these Terms at any time to reflect changes in:

  • Legal or regulatory requirements
  • Service features or functionality
  • Business practices

15.2 Notice

We will provide notice of material changes by:

  • Email to your registered email address
  • In-app notification
  • Posting the updated Terms with a new "Last Updated" date

15.3 Acceptance

Continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through:

  • Informal Negotiation: First, contact us at legal@get-ping.com to attempt to resolve the dispute informally
  • Binding Arbitration: If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules
  • Exception: Either party may seek injunctive or equitable relief in court to protect intellectual property rights. Any court proceedings shall be brought in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction there.

16.3 Arbitration Location

Arbitration shall take place at a mutually agreed location.

16.4 Class Action Waiver

You agree to resolve disputes with Ping on an individual basis only, not as part of a class, consolidated, or representative action.

16.5 Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, and any order form or service agreement, constitute the entire agreement between you and Ping regarding the Service.

16.6 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid.

16.7 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.8 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction, including to affiliates or in connection with a merger, acquisition, or sale of assets.

16.9 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet/telecommunications failures.

16.10 Export Compliance

You agree to comply with all applicable export and import laws and regulations in your use of the Service.

16.11 U.S. Government Users

If you are a U.S. government entity, the Service is a "Commercial Item" as defined in FAR 2.101, and is provided with only those rights as are granted to all other customers.

16.12 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Ping.
